The specific features available to you depend on the service tier you select and any separate agreement we enter into. If you upload, submit, or transmit content to or through our services ("Your Content"), you retain all ownership rights. However, you grant VC Suite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display Your Content solely as necessary to provide the services to you. You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate any third-party rights or applicable law.
If you purchase a paid service, you agree to pay all fees associated with the plan you selected. Unless otherwise stated:
Our services integrate with or rely on third-party tools (including GoHighLevel, Netlify, payment processors, and others). Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the acts, omissions, or content of any third party.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VIDEO CARTEL, VC SUITE, OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Video Cartel and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the site or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.
We may suspend or terminate your access to the site or services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, provisions that by their nature should survive (including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising from or relating to these Terms or the services will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. Material changes will be communicated through the site or other reasonable means. Your continued use of the site or services after changes take effect constitutes your acceptance of the updated Terms.
These Terms constitute the entire agreement between you and VC Suite regarding the site and services, superseding any prior agreements. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign freely.
